Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) govern your use of the Clippinit website, app and related services (the “Services”), operated by ClippinIt LLC, a Florida limited liability company, 190 Wilinda Court, Melbourne, Florida 32934, USA (“Clippinit”, “we”, “us”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for a company, you confirm you have authority to bind it.

2. Eligibility and accounts

You must be at least 18 years old and able to enter a binding contract. You agree to give accurate information and keep it current. You are responsible for keeping your password secure and for everything done through your account, and you must tell us at support@clippinit.io right away if you think someone else has accessed it. Do not share your account or let anyone else use it.

Accounts have one of three roles: clipper, agency staff, or campaign owner. What you can see and do depends on your role.

3. What Clippinit does

Clippinit is a performance-reporting tool. It lets clippers connect their own social media accounts so that their account statistics and clip metrics can be shown to them, to agency staff, and to the campaign owners they work with. Clippinit also sends payouts through Stripe (section 5).

We are not a party to any agreement between clippers, the agency, and campaign owners. Those agreements, including deliverables and rights to the underlying content, are separate from these Terms. We do not guarantee any particular results, views, or earnings.

4. Connecting your social accounts

You may connect only accounts that you own or are authorized to manage. Connecting is optional and happens through each platform's own sign-in screen. When you connect an account:

• You give us read-only access to the statistics and metrics described in our Privacy Policy. We never post, comment, message, or follow from your account.
• You consent to us showing those statistics and metrics to agency staff and to the campaign owners you work with.
• You confirm that doing so does not breach the platform's terms or any rights of other people.

You can disconnect an account at any time from your settings or on the platform itself, and we will delete the data we collected from it as described in our Privacy Policy and on our Data Deletion page. Some features may stop working if you disconnect.

5. Payouts

Payouts made through the Services are processed by Stripe, in the amounts the agency approves. By receiving a payout you agree to Stripe's terms and verification requirements. You are responsible for giving accurate payout details and for any taxes you owe. We may delay, hold, or reverse a payout to correct an error, prevent fraud, or comply with the law. Clippinit currently charges no fees for using the Services. If that changes, we will tell you in advance.

6. Acceptable use

You agree not to:

• Break the law or any platform's rules, or use the Services to deceive anyone.
• Create or increase views, likes, comments, followers or other engagement artificially, including with bots, scripts, purchased engagement, or fake accounts, or misrepresent your metrics in any way.
• Connect an account you do not own or are not authorized to manage.
• Share your login, or access another person's account or data.
• Bypass, disable, or interfere with security features, rate limits, or the platforms' access controls.
• Scrape, copy, reverse-engineer, or try to extract source code from the Services, except as the law allows.
• Interfere with the Services, upload malware, or test their security without our written permission.
• Resell or sublicense the Services.

We may investigate suspected violations and remove data, suspend access, or report conduct to the platforms or authorities.

7. Your content and our rights

Clippinit does not host your videos or posts. We store account statistics, performance metrics, and links to your posts. You keep all rights in your accounts, posts, and other content. You give us a limited, non-exclusive, worldwide licence to store, process, and display the data you connect, only to run the Services as described in these Terms and our Privacy Policy. Clippinit and its licensors own the Services, including the software, design, and trademarks, and nothing in these Terms transfers those rights to you.

8. Third-party platforms

The Services work with YouTube, TikTok, Instagram, Facebook, X, and Stripe. Your use of each is governed by its own terms and privacy policy, and by connecting an account you agree to follow them. We do not control these platforms and are not responsible for their availability, changes to their access rules, or their data. A platform may restrict or end our access at any time, which may limit or end some features.

If you connect a YouTube channel, you also agree to be bound by the YouTube Terms of Service.

9. Privacy

Our Privacy Policy explains how we handle personal information, and our Data Deletion page explains how to have it deleted.

10. Suspension and termination

You can stop using the Services and delete your account at any time. We may suspend or end your access if you break these Terms, if we reasonably believe your use puts the Services, other users, or a connected platform at risk, or if the law requires it. When access ends, your right to use the Services ends, we delete data as described in our Privacy Policy, and any sections that by nature should continue (including 11 to 14) will continue.

11. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services will be uninterrupted, error-free, or secure, or that the statistics shown are complete or exactly match what each platform displays.

12. Limitation of liability

To the fullest extent the law allows, Clippinit and its owners, officers, and employees are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. Some places do not allow these limits, so they may not fully apply to you.

13. Indemnification

You agree to defend and hold harmless Clippinit and its owners, officers, and employees from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third party's rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be brought in the state courts located in Brevard County, Florida, or the United States District Court for the Middle District of Florida, and you consent to those courts' jurisdiction. Either of us may seek an injunction in any court to protect intellectual property.

15. Changes to these terms

We may update these Terms. If we make a material change, we will tell you by email or in the app before it takes effect and update the date at the top. If you keep using the Services after a change takes effect, you accept the new Terms.

16. General

These Terms and our Privacy Policy are the entire agreement between you and Clippinit about the Services. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms without our consent, and we may transfer ours as part of a merger, sale, or reorganization.
